Abraham Lincoln said the leading role for the lawyer is diligence. That’s how Ed Naylor approaches his responsibilities as an attorney. For more than 25 years, he has applied his skill, detail orientation, and bottom-line perspective to diligently plan and close clients’ business transactions. As Vice-Chair of the firm’s Transaction Section, Ed understands how to get deals done.  

Ed has worked extensively in most areas of business law, especially planning, documenting, and completing corporate and commercial transactions. He provides consultation on structuring and forming business entities and planning and documenting corporate and venture capital financings, mergers and acquisitions, and intellectual property transactions. A seasoned negotiator, he regularly drafts and negotiates supply chain, distribution, licensing, and service agreements.

With extensive applied knowledge in mergers and acquisitions. Ed counsels clients on strategic development, deal structures, due diligence, equity and acquisition finance, organizational and operational audits, and exit strategies.

Ed’s clientele ranges from high-tech businesses to individuals and local, national, and international companies, who recognize his ability to complete deals efficiently and prevent problems.

Ed enjoys spending time with his wife and two daughters, hiking, skiing, and participating in other family-oriented activities.
