(Denver, Colo., January 30, 2008) - The Denver-based law firm of Moye White LLP is proud to announce that it has added seven experienced attorneys to its practice. The firm welcomes John W. Kellogg, Paul M. Seby, Terri L. Rithner, Mimi C. Larsen, James Belgum, Melissa E. Ryan, and Nicole M. Lucius.
John W. Kellogg counsels emerging and established companies in corporate, finance, securities, and development matters. He advises clients on corporate structure, formation, and governance, compliance, planning and documentation of venture capital financing transactions, as well as development, structure, and due diligence involved with mergers, acquisitions, and corporate finance transactions. His clientele includes start-up and emerging companies seeking venture capital, established corporate entities, and commercial interests seeking growth through acquisition, private equity, partnership, and consolidation of resources. During his career, he has guided many clients from start-up through successful listing on both NASDAQ and NYSE.
A former CPA, as well as sought-after speaker and panelist, Mr. Kellogg received his J.D. from the University of Denver College of Law and his B.S. from the University of Colorado.
An environmental attorney, Paul Seby has represented manufacturing, mining, alternative energy, utilities, and governmental clients before regulatory agencies, governing bodies, and courts for nearly two decades. Mr. Seby helps clients manage the dynamic challenges of environmental law and regulation in transactions, litigation, project development, financing, governmental relations, and policy matters. His practice emphasizes air and water quality, mining, public lands, alternative energy, facility siting, Brownsfield redevelopment, and water supply permitting. He works to promote creative and effective solutions to meet clients’ needs.
Mr. Seby is permitted to appear before the Supreme Court of the U.S., U.S. Courts of Appeal, the U.S. Court of Appeals for the DC Circuit, U.S. Court of Federal Claims, and the U.S. District Courts. He holds a J.D. from Lewis & Clark, Northwestern School of Law and a B.A. from the University of San Diego.
Terri L. Rithner handles complex corporate transactions, financings, real estate development, and nonprofit matters. She provides key guidance on the structure, formation, and governance of business entities including nonprofit organizations. Ms. Rithner represents financial institutions, owners, developers, and investors in development, finance, lending, and purchase and sale transactions for industrial, commercial, residential, and raw land projects. She helps clients negotiate land use, permitting, zoning, entitlements, agreements, and most other complex real property-related matters, providing project management oversight and guidance.
Ms. Rithner holds a J.D. from the University of Denver College of Law and a B.A. from Georgetown University.
As a corporate attorney, Marian C. “Mimi” Larsen focuses her practice on complex commercial matters, securities transactions, regulatory compliance, and real estate law. She offers strategic counsel to clients in the areas of business planning and formation, corporate governance, negotiations, finance, policy development, review, and ongoing analysis. Ms. Larsen advises public corporations on SEC reporting matters to ensure compliance with all related state and federal laws.
Ms. Larsen holds a J.D. from the University of Denver Sturm College of Law and a B.A. from the University of Denver.
James Belgum represents clients in all aspects of civil and commercial litigation, employment, and insurance matters. He counsels insurance companies, underwriters, and policy issuers with regard to complex coverage issues, including application of additional insured endorsements and claims coverage under owner-controlled insurance programs. Mr. Belgum asserts and defends the rights of providers against allegations of bad faith, fraud, malpractice, liability, and subrogation in state and district courts, before judges, administrative agencies, and in arbitration proceedings.
Mr. Belgum received his J.D. from the University of Denver Sturm College of Law and his B.A. from the University of Colorado at Boulder. He is a member of the American, Colorado, and Denver Bar Associations.
As an attorney in Moye White’s real estate group, Melissa E. Ryan handles complex real property transactions and leverages business opportunities. She provides general counsel to local governments, land developers, homebuilders, owners, lenders, investors, and contractors in the formation of metropolitan and special taxing districts for construction, management, operation, and financing of public services, historic, commercial, and industrial facilities. Ms. Ryan also drafts documentation, reviews and establishes covenants, easements, licenses, and title work, and assists clients in capital acquisition, environmental compliance, insurance, land use, zoning, and entitlements.
Ms. Ryan holds a J.D. from the University of Denver College of Law and a B.A. from the University of Minnesota.
Nicole M. Lucius provides representation to for-profit and nonprofit entities that promotes strategic growth, longevity, and stability. From consultation on initial entity planning, structure, and formation to negotiation of mergers, acquisitions, and expansions, Ms. Lucius offers full-service, long-range advice. She works with clients on distributions, joint ventures, partnership, dissolutions, and effective succession planning for future generations. She also counsels clients on business law—creation, review, and implementation of complex contracts, affiliation, buy-sell, employment, licensing, purchase, and other operational agreements, drafting and negotiation of leases, and development of corporate bylaws and governance protocols.
Ms. Lucius is a frequent lecturer and presenter at educational seminars and has authored numerous articles on the state of today's business environment. She holds a J.D. from Creighton University School of Law and a B.S. from Creighton University.
